1. Agreement to Terms

These Terms of Service ("Terms") form a binding agreement between you ("you," "your," or "User") and [Toymakers Labs LLC] ("Toymakers Labs]," "we," "us," or "our"), governing your access to and use of the Fieldbook OS and Hyperworld applications, websites, hardware, and related services (collectively, the "Service").

By creating an account, downloading, accessing, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

2. The Service

Fieldbook OS ("Fieldbook") is a personal knowledge and archiving application that lets you capture notes and content ("User Content"), organize it as a connected graph, and search it by meaning. Hyperworld refers to the broader ecosystem of related software and, where offered, hardware capture devices that work with Fieldbook.

We may add, change, suspend, or discontinue any part of the Service at any time. We are not liable to you or any third party for doing so.

3. Eligibility

You must be at least [13 / 16 / 18] years old to use the Service. If you are under the age of majority in your jurisdiction, you may use the Service only with the involvement and consent of a parent or legal guardian. By using the Service you represent that you meet these requirements and that any information you provide is accurate.

4. Accounts

To use certain features you must create an account. You are responsible for keeping your login credentials secure and for all activity under your account. Notify us promptly at playtime@toymakers.fun if you suspect unauthorized access. We are not liable for losses arising from your failure to safeguard your credentials.

5. Your Content

5.1 You own your content. You retain all ownership rights in your User Content. We do not claim ownership of anything you create, capture, or store in the Service.

5.2 License to operate the Service. You grant us a limited, non-exclusive, worldwide, royalty-free license to host, store, copy, transmit, process, and display your User Content solely as necessary to provide and improve the Service to you— for example, to store your data, generate the connections and semantic search features, sync across your devices, and back up your account. This license exists only to run the Service for you and ends when you delete the relevant content or your account, except for residual copies in routine backups and as required by law.

5.3 Third-party processing. Some features require sending your User Content to third-party providers that process data on our behalf — including, without limitation, OpenAI (to generate the embeddings that power meaning-based connections and search) and Supabase (to store and serve your data). By using these features you consent to this processing. See the [Privacy Policy] for details on what is shared and how it is handled.

5.4 Your responsibility. You are solely responsible for your User Content and represent that you have the rights necessary to store and process it through the Service, and that it does not violate these Terms or any law or third-party right.

5.5 Backups. While we take reasonable measures to preserve your data, you are responsible for maintaining your own backups of anything important. We do not guarantee that User Content will never be lost, corrupted, or unavailable.

6. Acceptable Use

You agree not to:

  • use the Service for any unlawful purpose or in violation of any applicable law or regulation;

  • upload or store content that is illegal, infringing, or that you do not have the right to store;

  • attempt to gain unauthorized access to the Service, other accounts, or our systems;

  • reverse engineer, decompile, or attempt to extract source code, except where such restriction is prohibited by law;

  • interfere with, disrupt, overload, or attempt to circumvent any security or rate-limiting of the Service;

  • use the Service to build a competing product, or resell or redistribute the Service without our written permission;

  • use automated means to access the Service in a manner that exceeds normal individual use, except through interfaces we expressly provide.

We may investigate and take appropriate action, including suspending or terminating accounts, for any violation.

7. Beta / Early Access

Parts of the Service may be offered as a beta, preview, or early-access release ("Beta Services"). Beta Services are provided "as is," may be unstable, may change or be discontinued at any time, and may contain bugs or errors that could result in loss of data. Do not rely on Beta Services to store the only copy of anything important. Any feedback you provide about Beta Services may be used by us without restriction or obligation to you.

8. Payments and Subscriptions

Certain features may require a paid subscription or one-time purchase ("Paid Services"). Prices, billing cycles, and features are described at the point of purchase. Purchases made through the Apple App Store are processed by Apple and subject to Apple's terms; billing, renewals, and refunds for those purchases are handled according to Apple's policies. Except where required by law or expressly stated, payments are non-refundable. We may change pricing prospectively on reasonable notice.

9. Intellectual Property

The Service — including its software, design, graphics, generative and visual systems, text, and trademarks (including "Fieldbook OS" and "Hyperworld") — is owned by Toymakers Labs LLC or its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your personal, non-commercial use in accordance with these Terms. All rights not expressly granted are reserved. This does not affect your ownership of your own User Content under Section 5.

10. Third-Party Services

The Service relies on and may link to third-party services (including, without limitation, Apple, OpenAI, and Supabase). We do not control and are not responsible for third-party services, and your use of them may be subject to their own terms and privacy policies. Their inclusion does not imply endorsement.

11. Privacy

Your use of the Service is also governed by our [Privacy Policy], which explains what we collect, how we use it, and how your data is shared with the processors described above. Please read it carefully. If you market the Service as "local-first" or "private," make sure the Privacy Policy accurately describes what content leaves the device and where it goes. 12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, error-free, or that any data will be preserved or accurate. Some jurisdictions do not allow the exclusion of certain warranties, so some of the above may not apply to you.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, [COMPANY] AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, PROFITS, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE [12] MONTHS BEFORE THE CLAIM, OR (B) USD $50 / 100. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

14. Indemnification

You agree to indemnify and hold harmless Toymakers Labs LLC and its officers, employees, and agents from any claims, damages, losses, and expenses (including reasonable legal fees) arising out of your User Content, your use of the Service, or your violation of these Terms or any law or third-party right.

15. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access at any time, with or without notice, if you violate these Terms or if we reasonably believe it is necessary to protect the Service or other users. On termination, your right to use the Service ends. Sections that by their nature should survive (including Sections 5.2, 9, 12, 13, 14, and 16) will survive.

16. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. You agree that the exclusive venue for any dispute not subject to arbitration will be the courts located in Newark, Delaware, and you consent to their jurisdiction.
